Ronson to move its registered office to Poland

Ronson Europe N.V. plans to transfer its registered office from the Netherlands to Poland in a move intended to increase the Group’s operational effectiveness and bring concrete benefits to the Company and its shareholders.

“Ronson Development’s operations are focused entirely on the Polish market. All of our investments are here and our Company is listed here on the Warsaw Stock Exchange. Moving the registered office to Poland is thus a natural step, which will improve the operational effectiveness of all entities in our Group and enhance transparency for investors. For our shareholders from Poland this also means easier direct access to general meetings,” said Nir Netzer, CEO of Ronson Europe.

“The planned transfer of our registered office from the Netherlands to Poland will bring real benefits to both the Company and its shareholders because it will allow us to significantly reduce administrative and operating costs,” said Rami Geris, member of the Company’s management board and CFO.

First, the management board intends to change Ronson Europe’s legal form from a Dutch-law company to a European Company (SE) and then transfer its registered office to Poland. Shareholder approval is necessary for both of these steps. To this end, the management board will soon call a general meeting in order to adopt a resolution on the change of legal form. The transfer of the registered office to Poland will require an additional resolution to be adopted at a subsequent general meeting. The management board expects this process to be completed by September 2018.
